These Terms of Service (“Terms”) are a legal agreement between you (“you,” “your,” “Customer”) and Packaging Made Easy Inc. (“Packaging Made Easy,” “PME,” “we,” “us,” “our”), governing your access to and use of our website, online store, and related services (collectively, the “Services”).

IMPORTANT: These Terms include a mandatory arbitration agreement and a class action waiver that affect your legal rights. Please read them carefully.

1. Overview & Acceptance

Packaging Made Easy operates this website and online store, including all related information, content, product listings, features, tools, products, and services, to provide you with an online purchasing experience.

Our store is hosted on Shopify, which provides the e-commerce platform that enables us to offer the Services.

By accessing, browsing, purchasing from, or otherwise using the Services, you agree to be bound by:

  • These Terms

  • Our Privacy Policy 

  • Our Return/Refund Policy 

  • Our Shipping Policy 

  • Any additional policies or notices posted on our website

If you do not agree, you must not use the Services.

2. Eligibility & Account Responsibilities

By using the Services, you represent that you are:

  • At least the age of majority in your jurisdiction, and

  • Legally capable of entering into binding contracts.

You may be required to create an account or provide personal information (e.g., email, billing/shipping address, payment details). You agree the information you provide is true, accurate, current, and complete, and you will promptly update it as needed.

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity conducted under your account

  • Restricting access to your account and devices

You may not transfer, sell, or assign your account to anyone else.

We reserve the right to refuse service, suspend, or terminate accounts and orders at our discretion, including if we suspect fraud, abuse, policy violations, or unlawful activity.

3. Products, Specifications & Content Accuracy

We sell packaging machines, shrink film, packaging materials, and parts through the Services.

We make reasonable efforts to present accurate product information. However:

  • Images are for illustration and may vary due to screen settings, product updates, manufacturer changes, or lot variation

  • Product specifications, packaging, and availability may change without notice

  • Some products may be substituted with equivalent items when appropriate (unless “no substitutions” is requested in writing)

PME does not guarantee that all product descriptions, images, specifications, pricing, or other website content will be accurate, complete, current, or error-free.

We reserve the right to:

  • Correct errors or omissions (including after an order is placed)

  • Modify, discontinue, or restrict products at any time

  • Limit quantities and refuse sales to any person, entity, region, or jurisdiction

4. Industrial Use, Safety & Compliance

Many products sold by PME are intended for commercial and industrial use and may involve risks if misused.

You agree that:

  • You are responsible for selecting products appropriate for your application

  • You will follow all manufacturer instructions, safety warnings, and operating manuals

  • You are responsible for safe installation, operation, training, maintenance, and compliance with all applicable laws and regulations (including OSHA and workplace safety requirements)

PME is not responsible for damages, injuries, or losses arising from improper use, installation, maintenance, or failure to follow safety instructions.

5. Orders, Acceptance & Cancellations

When you place an order, you are making an offer to purchase.

We may accept, reject, modify, or cancel orders at our discretion, including due to:

  • Availability or supply constraints

  • Pricing errors

  • Payment verification issues

  • Fraud prevention

  • Shipping limitations

  • Errors in product information

  • Customer order history

An order is not accepted until we confirm acceptance and/or shipment.

Cancellation Requests

You must contact us immediately to request a cancellation. We cannot guarantee cancellation once an order has been accepted, processed, or shipped.

6. Pricing, Billing, Taxes & Payment

Prices, promotions, and discounts are subject to change without notice. The price charged is the price displayed at checkout at the time the order is placed, unless a pricing error applies.

Unless otherwise stated, pricing does not include:

  • Shipping or handling charges

  • Sales tax

  • Any applicable fees

You agree to provide current, complete, and accurate billing and payment information and authorize us (and our payment processors) to charge your payment method for your order.

Sales Tax & Resale Certificates

If you claim exemption from sales tax, you must provide valid documentation. You agree to indemnify PME for any taxes, penalties, and costs arising from invalid, incomplete, or rejected exemption documentation.

7. Shipping, Delivery & Risk of Loss

Shipping is governed by our Shipping Policy [LINK].

Delivery dates are estimates and are not guaranteed. We are not responsible for delays caused by carriers, freight providers, supply chain disruptions, weather, or events outside our control.

Risk of Loss

Unless otherwise required by law:

  • Title and risk of loss pass to you when the shipment is transferred to the carrier.

  • Claims for missing or damaged shipments must be reported promptly per our Shipping Policy and carrier requirements.

Freight Shipments & Inspection Requirement

For pallet and freight deliveries, you must:

  • Inspect shipments at delivery before signing

  • Note any visible damage on the delivery receipt

  • Take photos of damage and packaging

  • Report damage to PME within the timeframe listed in the Shipping Policy

Failure to follow these steps may void or reduce your ability to obtain a refund or replacement.

8. Returns, Refunds & Restocking Fees

All returns, refunds, and exchanges are governed exclusively by our Return/Refund Policy [LINK].

Custom & Special Orders (Important)

Custom orders, made-to-order items, special-order products, and items ordered specifically for you may be final sale and may not be eligible for return, refund, or cancellation, except as required by law or stated in writing by PME.

9. Manufacturer Warranties & Warranty Disclaimer

Some products, especially machinery, may include manufacturer warranties. Unless explicitly stated in writing:

  • PME does not provide additional warranties beyond manufacturer warranties

  • Warranty claims may require working directly with the manufacturer

Disclaimer of Warranties

To the fullest extent permitted by law, PME disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

All products and Services are provided “AS IS” and “AS AVAILABLE.”

Some jurisdictions do not allow limitations on implied warranties, so parts of this section may not apply to you.

10. Intellectual Property

All content on the Services—including text, images, logos, trademarks, graphics, videos, product descriptions, and site design—is owned by PME or its licensors and is protected by intellectual property laws.

You may not reproduce, distribute, modify, publish, scrape, copy, create derivative works, or exploit any part of the Services without our prior written permission.

11. Prohibited Uses

You may not use the Services to:

  • Violate laws or regulations

  • Commit fraud or misrepresent identity

  • Infringe intellectual property rights

  • Harass, threaten, defame, or abuse others

  • Upload viruses, malware, or harmful code

  • Scrape, crawl, or harvest data without permission

  • Disrupt or interfere with security or functionality

  • Resell products where prohibited or export products unlawfully

We reserve the right to terminate access for violations.

12. Third-Party Tools, Services & Links

The Services may include third-party tools, integrations, or links. We do not control third parties and are not responsible for their content, services, or policies.

Your use of third-party tools is at your own risk and subject to third-party terms.

13. Relationship with Shopify

PME’s store is hosted on Shopify. However, all purchases are made directly from PME. Shopify is not responsible for any sales, products, injuries, losses, or damages related to transactions between you and PME.

You release Shopify and its affiliates from claims arising from your purchases and transactions with PME.

14. Feedback, Reviews & User Content

If you submit reviews, feedback, photos, suggestions, or other content (“Feedback”), you grant PME a perpetual, worldwide, royalty-free, sublicensable right to use, reproduce, modify, publish, and display such Feedback for any purpose, including marketing.

You represent that:

  • You have the right to provide Feedback

  • Your Feedback does not violate third-party rights

  • Your Feedback is lawful and not deceptive

We may remove Feedback at our discretion.

15. Errors, Inaccuracies & Omissions

We reserve the right to correct any errors, inaccuracies, or omissions at any time, including pricing, availability, shipping charges, and product descriptions.

If we cancel an order due to an error, we will refund the amount paid.

16. Limitation of Liability

To the fullest extent permitted by law, PME and its affiliates, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, loss of business, downtime, replacement costs, or loss of data.

To the fullest extent permitted by law, PME’s total liability for any claim relating to the Services or products will not exceed the amount you paid for the specific product(s) giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless PME, Shopify, and our affiliates, officers, directors, employees, agents, licensors, and service providers from any claims, losses, liabilities, damages, and expenses (including attorney fees) arising from:

  • Your breach of these Terms

  • Your violation of law or third-party rights

  • Your misuse of any product, including machinery

18. Dispute Resolution – Mandatory Arbitration & Class Action Waiver (California)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

18.1 Informal Resolution First

Before filing any claim, you agree to contact PME and attempt to resolve the dispute informally.

We will attempt to resolve disputes within a reasonable timeframe.

18.2 Agreement to Arbitrate

If informal resolution fails, you and PME agree that any dispute, claim, or controversy arising out of or relating to:

  • These Terms,

  • Your use of the Services, or

  • Products purchased from PME
    shall be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

18.3 Arbitration Provider & Rules

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules if applicable), as modified by these Terms.

The arbitration will be conducted:

  • In California, unless the parties agree otherwise, and/or

  • By phone, video, or written submission when appropriate

18.4 Costs

Payment of arbitration fees will follow AAA rules. PME will not seek to recover arbitration fees from you unless the arbitrator determines your claim is frivolous or brought for an improper purpose.

18.5 Class Action Waiver

You and PME agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

18.6 Exceptions

This arbitration agreement does not prevent either party from seeking:

  • Injunctive relief for intellectual property misuse,

  • Temporary restraining orders or preliminary injunctions in a court of competent jurisdiction.

18.7 Opt-Out (Optional but Recommended)

You may opt out of arbitration by sending written notice within 30 days of your first purchase or account creation to:

Your notice must include your name, email, order number (if applicable), and a clear statement that you wish to opt out of arbitration.

19. Severability

If any part of these Terms is found unenforceable, the remaining sections remain enforceable to the fullest extent permitted by law.

If the class action waiver is found unenforceable, then the arbitration agreement will be null and void only as to the class waiver portion.

20. Entire Agreement; No Waiver

These Terms and all referenced policies constitute the entire agreement between you and PME and supersede prior communications.

Failure to enforce any provision is not a waiver of our rights.

21. Assignment

You may not assign these Terms without our written consent. PME may assign these Terms without notice.

22. Governing Law & Venue

Except where superseded by the arbitration agreement, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any court proceedings permitted under these Terms will be brought in state or federal courts located in California, and both parties consent to jurisdiction and venue there.

23. Changes to These Terms

We may update these Terms by posting changes on our website. Changes are effective upon posting unless otherwise required by law. Continued use of the Services after updates constitutes acceptance.
